[1] The promoter of this Clearpay Day Competition (“Competition”) is Clearpay Finance Limited (company number 05198026) of 22 Long Acre, London, UK, WC2E 9LY (“Clearpay”). The Competition will run from 29 April 2022 08:00am (BST) to 1 May 2022 at 11.59pm (BST) in the United Kingdom (“Competition Period”).
[2] These Clearpay Day Terms and Conditions (“
Competition T&Cs”) govern participation in the Competition. The Competition T&Cs are in addition to any agreements between competition entrants and Clearpay including the
Privacy Policy and the Clearpay Merchant Agreement agreed between the entrants and Clearpay (collectively, the “
Clearpay Terms”). The Clearpay Terms are incorporated herein by reference and shall apply to participation in the Competition including if necessary to resolve any disputes between you and Clearpay related to or arising out of the Competition. The competition is open to merchants who satisfy all the eligibility criteria set out in clause
[3] Employees and other staff, and any of their immediate families, of Clearpay or any entities within Clearpay’s group of companies, are not eligible to participate in the Competition.
[4] To be eligible to participate in the Competition, a merchant must:
a. be a business based in the UK;
b. be over the age of 18;
c. maintain an active merchant account in good standing as solely determined by Clearpay throughout the Competition Period;
d. Clearpay transaction volume is £20 million or less in any given calendar year prorated;
e. be owner operated; and
f. have processed at least 10 transactions during the Competition Period using the Clearpay service (excluding any test transactions).
(known as “Eligible Merchants”). To participate in the Competition, Eligible Merchants must create and upload an Instagram post promoting the Clearpay Day sale. The caption must contain ‘#ClearpayDay’ and tag the @clearpay_uk Instagram account (“Valid Entries”). You can enter multiple times during the Competition Period but each entrant can only win one prize.
[5] There will be a total of 3 winners. The winners will be chosen from all Valid Entries received during the Competition Period from a random draw of entries received in accordance with these Competition T&Cs. The draw will be performed by a random computer process within 10 business days of the end of the Competition Period.
[6] The winners will be notified by email within 2 business days of the judging date. Clearpay as the Promoter must either publish or make available information that indicates that a valid award took place. To comply with this obligation the winners’ names will be published within 7days of the judging date (“
Announcement Date”) on [
https://www.clearpay.co.uk/en-GB/clearpay-day-merchant-marketing-competition] for at least 28 days following a winner’s acceptance of the prize in accordance with clause 13. [email protected]. In such circumstances, Clearpay must still provide the information and winning entry to the Advertising Standards Authority on request.
[7] Each winner will receive 1 x Clearpay Day prize:
a. A one (1) year Canva pro membership account (Canva pro account must be new. Existing pro accounts are not eligible).
b. A £1,000 co-marketing spend for future campaign(s). Campaigns must be run via the winner’s social media channels. The campaign(s) must be approved by Clearpay and must contain Clearpay branded assets including a Clearpay approved logo at a minimum. The merchant must provide written evidence that the campaign(s) are live and provide invoices for the cost of the campaign(s) up to the value of £1,000. The co-marketing spend terms will be subsequently agreed in writing between Clearpay and a winner including but not limited to campaign(s) parameters and invoicing requirements.
c. A £500 co-marketing spend for future campaign(s). Campaigns must be run via the winner’s social media channels. The campaign(s) must be approved by Clearpay and must contain Clearpay branded assets including a Clearpay approved logo at a minimum. The merchant must provide written evidence that the campaign(s) are live and provide invoices for the cost of the campaign(s) up to the value of £500. The co-marketing spend terms will be subsequently agreed in writing between Clearpay and a winner including but not limited to campaign(s) parameters and invoicing requirements.
[8] Entrants are subject to all applicable laws, and entries will be deemed void where they are prohibited by law. By entering this Competition, entrants agree to be bound by these Competition T&Cs. In case of any inconsistency between these Competition T&Cs and any other published material, these Competition T&Cs will prevail.
[9] If you violate the Competition T&Cs or any of the Clearpay Terms, Clearpay may, at its sole discretion, suspend or terminate your ability to participate in the Competition.
[10] Entries that Clearpay suspects to be fraudulent, incomplete, incorrect, or misleading, or may damage Clearpay’s reputation may be disqualified. Entrants who breach these terms and conditions may be disqualified. Clearpay accepts no responsibility for late, lost, or misdirected entries.
[11] There is no fee to enter this Competition. By submitting an entry, entrants agree to be bound by these Competition T&Cs. It is the entrant’s responsibility to notify Clearpay should their contact details change during the Competition Period.
[12] The decision of Clearpay (acting reasonably) will be final and no correspondence or discussion will be entered into with entrants. The prizes may be subject to further terms and conditions which shall be notified to the winners upon confirmation of the award of the prize.
[13] We will make all reasonable efforts to contact the winners. If the winners cannot be contacted or are not available or have not claimed their prize within 7 days of the Announcement Date, Clearpay reserves the right to offer the prize to the next Eligible Merchant selected from the Valid Entries that were received during the Competition Period. Clearpay does not accept any responsibility if you are not able to take up the prize.
[14] Clearpay may request reasonable identification from winners to confirm their identity and eligibility to enter. Any failure to do so may result in disqualification. Clearpay reserves all rights to disqualify you if your conduct is contrary to the spirit or intention of the Competition.
[15] Clearpay reserves the right to amend, withdraw or restrict the Competition and these Competition T&Cs at any time without notice. We reserve the right to substitute another item of equal value to any prize.
[16] Winners are liable for any tax consequences of the receipt of any prize and Clearpay accepts no liability to entrants.

[19] Clearpay accepts no responsibility for any damage, loss, liabilities, injury, or disappointment incurred or suffered by you as a result of entering this Competition. Nothing in these terms and conditions shall exclude the liability of Clearpay for death, personal injury, fraud or fraudulent misrepresentation as a result of its negligence.
[20] Clearpay shall not be liable for any failure to comply with its obligations where the failure is caused by something outside its reasonable control.
[21] These terms and conditions are intended to be legally binding and will be governed and construed in accordance with the laws of England. We each agree that the English courts will have exclusive jurisdiction over any claim or dispute arising from or in relation to the Competition or these terms and conditions.
