Clearpay UK Pulse Reward Program Terms and Conditions

1.Introduction


These Clearpay UK Pulse Reward Program Terms and Conditions (“Terms”) apply when you participate in the Clearpay UK Pulse Reward Program (“Program”) and constitute a legally binding agreement between you and Clearpay Finance Limited, a private limited company incorporated in England and Wales (company number 05198026) (“Clearpay”, “we” and “us”). By joining the Program, you confirm that you have read and agree to be bound by these Terms.  


Clearpay’s Terms of Service also apply to your use of our Program. If there is any conflict between the Terms of Service and these Terms, these Terms shall prevail. 


Clearpay may provide other services that are connected to the Program which have additional terms which will apply. You will be notified of these additional terms prior to using the other services. If there is any conflict between these Terms and terms that apply to additional services, the terms applying to any additional services will prevail in the conflict.

If you do not agree to these Terms, you may not be a part of the Program or use any of the benefits of the Program. The Terms of Service shall apply to resolve any disputes between you and Clearpay related to your participation in the Program. 


2.Who is Clearpay?


We are a ‘buy now pay later’ company that allows you to buy goods or services offered by our retailers online or in-store (as applicable), including overseas retailers in countries approved by us. Our list of retailers is here


When you make an order for goods or services using Clearpay, you will enter into a Clearpay plan with us (“Clearpay Plan”) where you instruct us to pay the retailer in exchange for you repaying to us the amount borrowed. Each Clearpay Plan is a separate short term, fixed sum loan agreement where we lend you a fixed amount of credit to allow you to pay for your purchase over four (4) installments due under the payment schedule set out in each Clearpay Plan. Using us to pay for purchases in installments is a form of credit. There is no interest. Late fees apply where you do not pay installments on time under a Clearpay Plan. 3.The Program


If you participate in this Program, we will reward you when you use Clearpay for making on time payments on eligible purchases and for participating in certain other activities. You will be able to earn points and reach Program Tiers and become eligible for offers and benefits from us and our retailers in accordance with these Terms.


4.Program Eligibility Criteria


To be eligible to participate in the Program, you must: (a) be a legal resident in the UK; (b) be over the age of 18; (c) have a registered UK address to your Clearpay account; (d) maintain a Clearpay account in accordance with the Terms of Service; and (e) apply to participate in the Program through your Clearpay account.  


5.Tiers and Calculation of Points


The Program has four (4) Tiers, and your Tier will be based on the number of points you earn during eligibility periods:


  • Gold: 0-99 points
  • Platinum: 100-299 points
  • Diamond: 300-499 points
  • Mint: 500+ points


(each a “Tier”). You will have two eligibility periods of six (6) months every twelve (12) months. 


Your eligibility periods will depend on the date you open a Clearpay account although you still need to opt into the Program to activate the Program and start accumulating points.  


  • If you opened a Clearpay account before 21 June 2021: your eligibility periods start from 1 June to 30 November, and then 1 December to 31 May.


  • If you opened a Clearpay account on or after 21 June 2021: your eligibility periods start from the first day of the month you open a Clearpay account and continues for 6 months from that date. The next six month eligibility period starts immediately after that period. This is illustrated below.

When you opt into the Program, you will be placed in a Tier based on your Clearpay account repayment history up to six (6) months prior to opting into the Program. Where there is no repayment history data to calculate your points or where you have more than one (1) late payment in this period, you will automatically be placed in the Gold Tier and be eligible for Gold Tier benefits. Once you reach 100 points in an eligibility period, you will be moved to the Platinum Tier and qualify for Platinum Tier benefits. If you then reach 300 points in an eligibility period, you will be placed in the Diamond Tier and qualify for Diamond Tier benefits and if you then reach 500+ points in an eligibility period, you will be placed in the Mint Tier and qualify for Mint Tier benefits.   


6.How to earn points


You will earn points during each eligibility period based on your behaviour. 


You will earn 10 points each time you pay an installment of a Clearpay Plan on time, where the purchase amount is equal to or above £25.  


You can also earn these bonus points by:


i. downloading and logging into the Clearpay app (one time only and only available if achieved on or after 21 June 2021): 20 points

ii. making your second ever purchase (one time only and only available if achieved on or after 21 June 2021): 40 points

iii. making your first purchase from a retailer classified by Clearpay as a small business (once per eligibility period): 20 points

iv. making your first purchase from a retailer classified by Clearpay as an ethical and sustainable brand (once per eligibility period): 20 points


Please note, if one of your transactions meets multiple bonus point criteria in points (ii) to (iv) above, you will only be awarded bonus points for the category with the highest points offered. 


Your points reset back to zero at the beginning of each eligibility period, but the points reset won’t affect which Tier you are in as described further in clause 7 (Moving across Tiers).


7.Moving across Tiers


During each eligibility period, you can advance to a higher Tier in that eligibility period if you meet the points threshold for that Tier.   


Your status at the end of each eligibility period will determine your status for the next eligibility period and you will start that next eligibility period at the same Tier (although your points will have reset to zero). For example, if you qualify for Platinum Tier in your first eligibility period, you will retain Platinum Tier status during your next eligibility period (subject to moving up or down Tiers). After that, you will need to earn enough points to qualify for the Platinum Tier each subsequent eligibility period as your points will reset to zero at the start of each new eligibility period. If you do not earn enough points to remain in the Platinum Tier, you will be moved to the Gold Tier. 


If you have more than one (1) late payment on any purchases on your Clearpay account in each eligibility period, you will be moved to the Gold Tier (no matter which Tier you are currently in) and you will not be eligible to earn any more points for that current eligibility period. You will still be able to exercise certain benefits in the Gold Tier, such as delaying payment dates, if this is available at the time. A late payment is any instalment payment that is not paid on or before the due date for the payment regardless of whether any applicable late fee is charged. You will be restart earning points again at the beginning of the following eligibility period when points reset.


Please be aware that not paying instalment payments on time may also lead to late fees applied on your purchases in accordance with our Terms of Service. Not paying on time will lead to a late fee of £6, and if your order is more than £24, a further late fee of £6 if it is still overdue after seven (7) days. The total amount of late fees you may be charged will depend on your order value. If you fail to pay on time, Clearpay debt may be passed onto a debt collection agency, and this may affect your ability to use Clearpay in future. 8.Benefits


The benefits for each Tier are set out below although we may change these benefits from time to time.

No payment up front on orders. When this benefit applies, you will receive a message that you have nothing to pay at the time you complete an order. This benefit is not available on gift cards, or on purchases made from merchants outside the UK.

Where you receive the benefit to delay payment dates as stated in the table, this is subject to other conditions as set out in your Clearpay account and listed below. We reserve the right to update the conditions of this benefit in accordance with clause 11 (Program changes and termination) of these Terms.


  • You cannot delay more than one (1) payment in each Clearpay Plan
  • You cannot delay the first or last payment of a Clearpay Plan
  • You cannot delay overdue payments (including any payments you have delayed that subsequently become overdue)
  • You cannot delay payments within 24 hours of an installment payment date
  • You cannot delay payments if your Clearpay account is less than 42 days old
  • You cannot delay payments if you are on a hardship programme
  • You cannot delay payments with restricted merchants who have disabled this benefit


All benefits are subject to change and/or availability. Clearpay does not guarantee the continued or unlimited availability of any benefit. No Program benefits or points may be transferred, shared or combined with any other offer or by Program participants. 


You may also be invited to select Clearpay promotions, offers and features where additional terms may apply. 


The benefits and points have no cash value, are non-transferable and are not directly exchangeable under any circumstances for cash. At no time can points and benefits be sold, gifted or transferred to any third parties.


We reserve the right to withhold or suspend benefits in our discretion to investigate compliance with our Terms, Terms of Service or other agreement between you and us.


9.Exclusive retailer offers


Exclusive retailer offers where you are offered a discount off a purchase (“Promo”) may be made available to you in your Program account and will run during the dates set out in the Promo (“Promotional Period”). This clause applies to your use of any Promos. 


  • Promos are only open to UK residents, aged 18 years or over and all purchases are subject to the Clearpay Terms of Service.
  • The Promo will be automatically applied to the eligible Clearpay purchase.
  • The Promo will be applied to the total original purchase value as displayed by the retailer (including tax, shipping costs) to reduce the value of your four (4) payments equally. 
  • Promos are limited time offers and will be specific to a retailer as indicated in your Program account.
  • Clearpay reserves the right to modify or cancel any Promo at any time without prior notice to you. 
  • Promos are available by invitation only, are non-transferable, are not redeemable for cash or credit, and may not be resold. 
  • Promos cannot be applied to purchases made before or after the Promotional Period. 
  • Each Promo is limited to one per order, per customer and account.
  • Each Promo may not be combined with any other Clearpay promotion.
  • Each Promo applies only to qualifying items and may not be available sitewide.
  • If any of the products where a Promo was used are returned, the maximum amount you will be refunded is the amount you actually paid for the product(s), subject to applicable refund policies.


10.Liability


Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation or for any other losses which cannot be limited or excluded under law. We will only be responsible for your losses that we could have foreseen at the time we entered into these Terms and only up to the amount you paid for the goods or services in question. 


The Program is provided to you on an “as is” and “as available” basis. Other than as expressly set out in these Terms, any additional terms we introduce from time to time, or implied by consumer law, we do not make any particular commitments or promises to you about the Program. For example, we do not promise that any content within the Program, the functions of the Program, or its reliability or availability will be suitable for your needs. This does not affect your statutory rights. 


To the extent permitted by applicable law, we exclude all warranties.


We are not responsible for any harm, damage or loss to you arising from, or relating to hacking, tampering or unauthorised access to your Program account that is not within our reasonable control. If you suspect that somebody else has access to your account and is fraudulently using them to access Clearpay services, you must contact us immediately by using the details below in clause 14 (Contact us).


11.Program Changes and Termination 


The Program and its benefits are offered at Clearpay’s sole discretion. Except as prohibited under applicable law, Clearpay may discontinue the Program at any time and reserves the right to change these Terms including eligibility criteria and benefits at any time at Clearpay’s sole discretion. Notwithstanding this, where the change is material affecting your benefits and/or to your detriment, we will provide you with reasonable notice of the change. If you do not agree to the changes, you may opt out of the Program by contacting us using the details below in clause 14 (Contact us). 


If you breach these Terms or any of the Terms of Service or any other agreement between you and Clearpay, we may at our discretion suspend or terminate your ability to participate in the Program.


Clearpay reserves the right to cancel, suspend and/or change this Program, or any part of it, if any fraud, technical failures or any other factor impairs the integrity or proper functioning of this Program, as determined by Clearpay in its sole discretion. Clearpay reserves the right to withhold or remove benefits of the Program in the event that Clearpay, in its sole discretion, determines or believes that the receipt of benefit was in error, fraudulent, illegal or in violation of these Terms or the Terms of Services. The preceding in no way precludes Clearpay from taking other actions against you to protect its rights.  


All changes to these Terms will be binding on you immediately.


12.Privacy


By participating in the Program, our privacy policy will apply to the collection and use of your personal data. Please notify us if any of the information we hold about you changes by contacting us at the details provided in clause 14 (Contact us). 


13.General 


In case of any dispute regarding the Program and/or Terms, the decision of Clearpay will be final.


The waiver by Clearpay of a breach of any provision of these Terms by you shall not operate or be construed as a waiver of any other or subsequent or preceding breach by you. Clearpay’s failure to enforce any provision of these Terms in a given circumstance does not constitute the waiver of such provision. No waiver by Clearpay of any right under the Program shall be construed as a waiver of any other right. Clearpay shall not be required to give notice to enforce strict adherence to all terms of the Program.


If any provision of these Terms is determined to be invalid or unenforceable, that part of the Terms shall be modified to make it valid or deemed deleted if it is not possible to modify the term. This will not affect the rest of the Terms. The Program, or any part of the Program, is void if it is prohibited by law. 


These Terms are governed by English law and any matter, claim or dispute arising out of or in connection with these Terms, whether contractual or non-contractual, is to be governed by and determined in accordance with English law.


If you reside in England and Wales, any dispute about the Terms will be dealt with by the courts of England and Wales. If you reside in Scotland, any dispute about the Terms will be dealt with by the courts of Scotland. If you reside in Northern Ireland, any dispute about the Terms will be dealt with by the courts of Northern Ireland. Nothing in these Terms affects your rights as a consumer to rely on such mandatory provisions of the laws of your country of residence.


These Terms are the entire agreement between you and us in relation to the Program. You may not transfer your rights under these Terms to any third party without our written consent. These Terms control the relationship between Clearpay and you. They do not create any third party rights.
