Clearpay Co-marketing Competition Terms and Conditions
1. The promoter of this Clearpay Co-marketing Competition (“Competition”) is Clearpay Finance Limited (company number 05198026) of 22 Long Acre, London, UK, WC2E 9LY (“Clearpay”). The Competition will run from 1 July to 31 July 2021 in the United Kingdom (“Competition Period”).
2. Entry to this competition is open to small and medium-sized business merchants in the UK who have successfully integrated with Clearpay and have not yet processed their first customer order using Clearpay before the start of the Competition Period (“Eligible Merchants”). Employees and other staff, and any of their immediate families, of the Promoter or any entities within the Promotor’s group of companies, are not eligible to participate in the Competition.
3. To enter the Competition, Eligible Merchants must either:
a. process at least three (3) or more unique customer orders using Clearpay greater than or equal to £25 in total value; or
b. process at least one (1) or more unique customer orders with Clearpay greater than or equal to £500 in total value. during the Competition Period (a “Valid Entry”). Each Eligible Merchant may only be awarded one prize.
4. Entries that Clearpay suspects to be fraudulent, incomplete, incorrect or misleading, or may damage Clearpay’s reputation may be disqualified. Entrants who breach these terms and conditions may be disqualified. Clearpay accepts no responsibility for late, lost or misdirected entries.
5. There is no fee to enter this competition. By submitting an entry, entrants agree to be bound by these Terms and Conditions.
6. It is the entrant’s responsibility to notify Clearpay should their contact details change during the Competition Period.
7. The Eligible Merchant with the highest number of customer orders using Clearpay during the Competition Period will receive [three thousand] pounds (£3000)] worth of marketing (“Prize”) on Clearpay’s channels, to use towards mutually agreed marketing activities promoting the availability of Clearpay with the merchant. The decision of Clearpay (acting reasonably) will be final and no correspondence or discussion will be entered into. The Prize may be subject to further terms and conditions which shall be notified to the winner upon confirmation of the award of the prize.
8. The winner will be selected from all Valid Entries received during the Competition Period and will be judged at midday GMT+1 on 10 August 2021. There will be a total of one (1) winner, who will be notified by email within two (2) business days of the judging date. Clearpay as the Promoter must either publish or make available information that indicates that a valid award took place. To comply with this obligation the winner’s name will be published within 2 business days of the judging date (“Announcement Date”) on [https://www.clearpay.co.uk/en-GB/co-marketing-competition-terms] for at least 28 days. If you object to any or all of your personal details and winning entry being published or made available, please contact us by email at [[email protected]]. In such circumstances, Clearpay must still provide the information and winning entry to the Advertising Standards Authority on request.
9. We will make all reasonable efforts to contact the winner. If the winner cannot be contacted or is not available, or has not claimed their prize within 7 of days of the Announcement Date, Clearpay reserves the right to offer the prize to the next Eligible Entrant selected from the Valid Entries that were received before the Closing Date. Clearpay does not accept any responsibility if you are not able to take up the prize.
10. Clearpay may request reasonable identification from winners to confirm their identity and eligibility to enter. Any failure to do so may result in disqualification. Clearpay reserves all rights to disqualify you if your conduct is contrary to the spirit or intention of the prize competition.
11. Clearpay reserves the right to amend, withdraw or restrict the Competition and these terms and conditions at any time without notice. Eligibility to receive the Prize may be subject to further terms and conditions set out in the service agreement we agree with you. We reserve the right to substitute another item of equal value to any Prize.
12. Winners are liable for any tax consequences of the receipt of any Prize and Clearpay accepts no liability to participants.

15. Clearpay accepts no responsibility for any damage, loss, liabilities, injury or disappointment incurred or suffered by you as a result of entering this Competition. Nothing in these terms and conditions shall exclude the liability of Clearpay for death, personal injury, fraud or fraudulent misrepresentation as a result of its negligence.
16. Clearpay shall not be liable for any failure to comply with its obligations where the failure is caused by something outside its reasonable control.
17. These terms and conditions are intended to be legally binding and will be governed and construed in accordance with the laws of England. We each agree that the English courts will have exclusive jurisdiction over any claim or dispute arising from or in relation to the Competition or these terms and conditions.
